BIOGRAPHY

 Ms. Ng specializes in taxation and estate planning matters, with an emphasis on real estate transactions and ownership. 

Ms. Ng advises real estate investors and developers on California real property tax issues, dealer income tax and capital gains issues, partnership tax and 1031 and 1033 tax-deferred exchanges. In addition to her knowledge in income tax issues, Ms. Ng brings expertise in property tax structuring and has a proven record of successfully appealing property tax assessments across Southern California. 

For private and individual clients, Ms. Ng has experience advising clients on a broad range of estate planning and gifting matters such as the preparation of wills, revocable living trusts, durable powers of attorneys, health care directives as well as more sophisticated vehicles such as asset protection trusts and irrevocable defective trusts.  Ms. Ng regularly represents clients in trust and estate dispute negotiations and adds value by structuring settlements in tax efficient manners for her clients.

Prior to attending law school, Ms. Ng worked in international business and is conversant in Mandarin.  Ms. Ng is admitted to practice law in the states of California and New York.


REPRESENTATIVE TRansactionS

  • Representation of a real estate developer in negotiating and drafting tax provisions for a $25 million joint venture development of a commercial project.
  • Representation of a real estate developer in negotiating and drafting tax provisions for a $22 million joint venture development of a nationally franchised hotel.
  • Representation of property owners to optimize taxation of state and transit authority condemnation awards including the condemnation of a
    $52 million office building.                             
  • Representation of a Fortune 500 company in successfully challenging a potential property tax reassessment of its Southern California plant, preventing a $20 million increase in the assessed tax value of the property.
  • Successful appeal of the property tax valuation of a 93-unit apartment complex, reducing a $21 million assessed tax value to a $12.5 million assessed tax value.
  • Successful appeal of the property tax valuation of an industrial property, which reversed a $25.2 million assessed tax value to $8.2 million assessed tax value.
  • Representation of land and commercial property owners in connection with reassessment issues involving complex trusts and multi-tiered partnerships.
  • Representation of solar tax equity partnership sponsors in the negotiation of membership interest transfer and joint venture agreements.
  • Representation of owners and borrowers, including a public REIT of multi-family housing projects, in connection with Freddie Mac and Fannie Mae financing.
  • Corporate and tax representation of engineering services, manufacturing and restaurant clients in connection with asset and stock sales of businesses.
